Bantr Consumer Terms of Service

PLEASE READ THIS TERMS OF SERVICE AGREEMENT (“AGREEMENT”) CAREFULLY. THIS AGREEMENT IS A LEGAL CONTRACT BETWEEN YOU (“USER”) AND BANTR COLLECTIVE, INC. (“BANTR,” “WE,” OR “US”).

SECTION 14 OF THIS AGREEMENT IS AN ARBITRATION CLAUSE THAT REQUIRES MOST DISPUTES BETWEEN US TO BE RESOLVED ON AN INDIVIDUAL, NON-CLASS ACTION BASIS THROUGH BINDING AND FINAL ARBITRATION INSTEAD OF IN COURT. SEE SECTION 14 FOR MORE INFORMATION, INCLUDING HOW TO OPT OUT.

By accessing or using our mobile applications, websites, or related services (collectively, the “Services”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use our Services.

1. Use of the Services
1.1 Eligibility. You must be at least 13 years of age to use the Services. If you are under 18, you may only use the Services with the involvement and consent of a parent or guardian. The Services are not directed to children under 13, and we do not knowingly collect personal information from them.

1.2 Your Account. To access certain features, you may need to register an account. You agree to provide accurate and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for any activity under your account.

1.3 User Conduct. You agree not to use the Services for any unlawful or prohibited purpose, including but not limited to:

Harassing or threatening others

Uploading or sharing obscene or harmful content

Violating intellectual property rights

Introducing viruses or malicious code

Accessing or collecting personal data of others without consent
1.4 License Grant. Subject to these Terms, Bantr grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use.
1.5 App Permissions. Bantr may request access to your device’s location, camera, microphone, push notifications, or storage. These are used to personalize your experience, provide show syncing, or support certain features. You can manage these permissions through your device settings.

2. Intellectual Property
All content, features, and functionality (including but not limited to text, graphics, logos, and software) are the exclusive property of Bantr or its licensors and are protected by copyright, trademark, and other laws. You may not copy, reproduce, distribute, or create derivative works without express written permission.

3. User Content
3.1 Responsibility. You are solely responsible for content you post or submit through the Services. You represent that you own or have rights to the content you provide.

3.2 License to Bantr. By submitting content, you grant Bantr a worldwide, non-exclusive, royalty-free license to use, host, display, distribute, and modify such content in connection with operating and improving the Services.

3.3 Prohibited Content. You agree not to submit content that:

Is sexually explicit, exploitative, or harassing

Violates any law or the rights of any person

Promotes violence, discrimination, or illegal activity

4. Termination
Bantr reserves the right to suspend or terminate your access to the Services at our sole discretion, without notice or liability, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties.

5. CSAE and Child Safety Policy
5.1 Prohibited Use. You may not use the Services to exploit or harm minors. We have a zero-tolerance policy for child sexual abuse or exploitation content (CSAE).

5.2 Detection and Reporting. We may use AI and human review to detect CSAE content and promptly report it to the National Center for Missing & Exploited Children (NCMEC) and law enforcement.

5.3 Account Removal. We will remove accounts and content associated with confirmed CSAE violations and may report users as required by law.
6. Changes to the Services
We may update, modify, or discontinue all or part of the Services at any time without notice. We are not liable for any modification, suspension, or discontinuation.
7. Third-Party Services
The Services may contain links to third-party websites, platforms, or content. Bantr is not responsible for the content, policies, or practices of those third parties. Your use of those services is at your own risk.
8. Indemnification
You agree to indemnify and hold harmless Bantr Collective, Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Services or your violation of these Terms.
9. Disclaimer of Warranties
The Services are provided “as is” and “as available” without warranty of any kind. We do not guarantee that the Services will be uninterrupted, secure, or error-free. Bantr disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, Bantr is not liable for any indirect, incidental, special, or consequential damages arising out of your use of the Services. Our total liability for any claim relating to the Services shall not exceed $100.
11. Export and Trade Compliance
You agree not to use or access the Services in violation of U.S. export laws or regulations. You are responsible for compliance with all applicable laws in your jurisdiction.
12. California Residents
Under California Civil Code Section 1789.3, users are entitled to the following consumer rights notice: If you have a complaint regarding the Services, please contact us at help@bantr.org. 13. Governing Law
These Terms are governed by the laws of the State of New York, excluding its conflict of laws principles.
14. Arbitration (U.S. Users Only)
You agree to resolve most disputes through binding arbitration administered by JAMS. Arbitration will occur in New York, NY, or virtually. This clause does not apply to intellectual property claims or injunctive relief. You may opt out of this arbitration agreement by sending written notice within 30 days of first accepting these Terms to help@bantr.org.
15. Miscellaneous

These Terms constitute the entire agreement between you and Bantr.

If any provision is found unenforceable, the remainder shall remain in effect.

Failure to enforce any part of these Terms is not a waiver.
